Applicant, as a director, has locus to apply and the pleadings indicate more than a shadowy prospect in HCA 1847, but there was inadequate evidence of succession to the late director's shareholding and no authority or justification to proceed without serving the other member; accordingly the proper exercise of the Court's discretion was to adjourn the application and require service on the member before final determination.
