The court held that on proper construction the DMC encompassed the roof as a unit for the purposes of contribution and the Company was liable to pay management fees; the alleged settlement lacked consideration, was unsupported by payment or clear acceptance, and thus did not create a bona fide dispute as to the debt; accordingly the Company was insolvent and a winding-up order was made.
