Clause B1 Section III of the DMC grants the manager an exclusive and unrestricted right to enter any part of the estate to carry out management and maintenance; that express right is not subject to an implied term allowing owners to impose the three conditions relied on by the respondent; the respondent's refusal to permit entry in reliance on those conditions breached the DMC, entitling the applicant to injunctive relief, damages of $130,500 and solicitor-and-own-client costs.
