The ex parte Mareva injunction and ancillary disclosure orders were discharged because plaintiffs failed to make full and frank disclosure of material facts to the ex parte judge (including the refusal to register the transfer, plaintiffs' own withdrawals and the undervalued allotment), and Hong Kong was not shown to be clearly and distinctly the most appropriate forum for trial; accordingly leave to serve out was discharged and proceedings against New KMT stayed; given defendants' undertaking concerning the Shanghai company's shares a fresh Mareva injunction was not warranted.
