The Debtor failed to establish a bona fide dispute on substantial grounds because Skalacrest's written confirmation prima facie established performance and the Guaranteed Return was owed; the alleged variations and illegality were speculative or unsupported and did not materially increase the Debtor's risk or discharge the Guarantee; accordingly the Guarantee was enforceable and a bankruptcy order was made against the Debtor.
