The Court found no express or resulting trust over CHL's registered shares and rejected the claim that the company was a quasi-partnership; although there was a breakdown of mutual trust, the facts did not establish unfairly prejudicial conduct sufficient to justify winding up or an order forcing a buy-out, and consequently both the winding-up petition and the ownership declaration claim were dismissed.
