Although Ball Land and Wing Kwai had acted improperly in returning funds and failing to contribute, Sang Lee's more serious and persistent equitable breaches—misuse and intermingling of joint venture funds, secret profit on supplies, secret commission and confirmor sales—disentitled it to relief that would allow it to retain assets belonging to Ball Land; therefore specific performance of the sale agreements should be affirmed and the appellant's appeal dismissed.
