On the contested affidavit evidence the defendant raised triable issues on the existence and nature of the alleged debt from CSHL to CSL, the alleged 2000 oral agreement to have CSHL pay amounts to extinguish the defendant's liability, and on whether the capital adjustments were lawful; these facts could not be resolved summarily on the papers and thus summary judgment was inappropriate; however the plaintiff failed to prove an evidential basis for contractual interest at this stage.
