The Court held that the Agreement was properly construed as binding on the 2nd plaintiff and 2nd defendant (the signatories acting as agents and also personally in limited respects), found that the 2nd plaintiff performed its obligations and that under Clause 4 the US$200,000 purchase consideration was due; accordingly judgment was entered for the 2nd plaintiff against the 2nd defendant for US$200,000 with interest and costs as ordered; defences of abandonment and misrepresentation failed and claims against the 1st defendant were dismissed.
