Court found no meeting of minds that the 2nd Defendant would assume liabilities before incorporation; applying Kelner/Natal Land line the 1st Defendant was personally liable on the contracts signed on or before 25 November 1981. However, after 25 November 1981 the Plaintiff’s conduct and documentation led the 1st Defendant to reasonably believe the Plaintiff dealt with the incorporated company; the Plaintiff is estopped from claiming against the 1st Defendant for liabilities arising after that date. Judgment against the 2nd Defendant for the agreed sum was entered.
