The court held that the vendor was not obliged to supply prospective corporate capacity documents or a Certificate of Good Standing in the factual circumstances; the requisitions were unreasonable, the defendant had shown good title, the plaintiffs unjustifiably refused to complete and were in breach, and the defendant was entitled to forfeit the 10% deposit (HK$1.67 million) and to the orders in the November Summons (paragraphs 2–4).
