CS Credit was a bona fide purchaser for value without notice because the registered surrender and regrant did not disclose who paid the premium and did not give rise to constructive notice; Far East and CIE failed to discharge their evidential burden to show facts that would have put CS Credit on inquiry or a causal link to discovery of an equitable interest; accordingly the stay application pending appeal was dismissed as their appeal was not arguable and would not render the appeal nugatory.
