The court accepted contemporaneous SSC Holdings minutes (29 and 30 April 2008), the Payment Instructions and the contemporaneous Disputed Trust Confirmation signed 2 May 2008 as establishing an express trust under which Charm Master held PN A (and its replacements) on trust for SSC Holdings as to 80% and for J. Thomson as to 20%; PN D and PN E accordingly represent J. Thomson's beneficial entitlement of $12m plus $500,000 agreed compensation, therefore the $12.5m paid into court must be paid out to J. Thomson and Charm Master's claim dismissed.
