Consent Order did not create an absolute estoppel preventing proprietary trust claims because the issues of beneficial ownership were not necessarily compromised; on the facts the judge below was correct to reject undue influence and total failure of consideration in respect of 9F and CSW; however the judge below correctly found the Sum in the joint account was held on trust for the plaintiff and relief by way of account and enquiries was appropriate, so the appeal is allowed in part to declare the Sum held on trust and to order an account.
