The impugned registry filings derived from resolutions and signatures of persons who were not authorised shareholders or directors at the time and were therefore invalid or done without company authority; the defendants' asserted equitable defences are inherently incredible or inconsistent with contemporaneous documents and prior pleadings and thus do not disclose a real or bona fide defence; removal under s.42(1) and (4) CO is therefore justified to prevent material damage to the companies.
