Where a genuine and substantial dispute exists as to whether payment and therefore an interim certificate is due, the engineer's refusal to certify constitutes 'withholding of a certificate' within Clause 120(6); such a dispute is referable to arbitration before completion without the employer's written consent, and the court will order the appointment of an arbitrator to determine the matter.
