The court found that the EGM was properly convened in accordance with the Articles, the requisite requisition and quorum were satisfied, and resolutions reconstituting the board were validly passed; the former board's refusal to accept the reconstitution and withholding of corporate records constituted unfair prejudice under s724; accordingly the court granted declarations and mandatory orders under ss724-725 to give effect to the valid reconstitution and to compel handover of records and cessation of holding out as officers, and awarded costs against the 2nd to 10th respondents.
