The Court allowed the appeal because, on the judge's findings and documentary materials, the plaintiff's December 1989 communication constituted a breach and the judge had not established that the defendant was in breach; accordingly the defendant was entitled to judgment on the counterclaim but the quantum of damages could not be assessed on appeal and the matter must be remitted for inquiry and assessment.
