The Court found the 2019 ND2As and 2019 NR1s invalid because Lai lacked authority to effect the changes: the meetings and resolutions he relied upon were inquorate or procedurally defective (including failure to give special notice to remove a director) and appointment powers were not properly exercised; accordingly the impugned documents were declared null and void and ordered removed from the Companies Register, with rectification directions for prior filings and a timetable for parties to file amended documents.

The ND2As and NR1s filed on 3 May 2019 were invalid because they were effected without proper authority: resolutions relied upon were passed at inquorate meetings, required special notice for removal of a director was not given and no valid board authorisation was shown; accordingly under s.42 the impugned documents are null and void and must be removed from the Companies Register and prior filings reflecting the invalid allotments and appointments must be rectified because their continued presence would cause material damage to the companies.
