The court found on the balance of probabilities that the true agreed purchase price was HK$1,950,000 and that the HK$150,000 payment was a secret payment intended to evade additional stamp duty; the typed additions to the receipt were made without the plaintiff's authority and therefore the receipt could not serve as the required memorandum for a sale at HK$1,800,000, leading to the conclusion that the agreement was illegal and unenforceable as against the 5th defendant.
