Because the agreement expressly provided for return of shares and purchase money on non-completion (clause vii) while preserving other remedies (clause ix), the court must give effect to those terms: the defendant was entitled to the return of the purchase money with interest upon delivery up of the company's properties and the plaintiffs could not retain the purchase money by asserting a lien for anticipated losses; summary judgment on the counterclaim was therefore appropriate.
