The court concluded that the plaintiff's conduct amounted to a repudiation of the agreement which was validly accepted by the 1st defendant; accordingly the contract was treated as terminated and the plaintiff was not entitled to specific performance under the agreement.

The court found the defendant acted on instructions to sell the four properties rather than to effect a temporary transfer with a right of first purchase; the plaintiff's testimony was inherently implausible, lacked corroborative contemporaneous evidence, and was inconsistent with earlier documents, therefore the plaintiff failed to prove breach or causation and the claim was dismissed.

The court exercised its discretion to leave the original costs order undisturbed and made the order nisi absolute because, on overview, the prior costs adjustment already reflected the defendant's adverse conduct and a further order under O.62 r.3(5) would produce an inappropriate result given the short trial and the plaintiff's credibility defeat; accordingly costs remain as previously ordered and costs of the day are in the cause.

The Court found the agency was between the Plaintiff company (agent) and the 1st Defendant company (principal); Chau acted as director of the 1st Defendant not personally; the corporate veil should not be lifted. Crucially, Tan became a director/shareholder of the purchaser (United Trump) before completion and failed to make full and frank disclosure; his knowledge was imputed to the Plaintiff company and that conflict disentitled the Plaintiff to commission, so the action was dismissed.

The plaintiff failed to discharge the burden of proving the sale was a sham; documentary and contemporaneous banking and company records corroborated the defendants' account that beneficial ownership passed; alternatively, disclosure of an illegal scheme to obtain a bank loan would bar the plaintiff from equitable relief. Therefore the plaintiff's claim was dismissed and the defendants entitled to possession and agreed mesne profits.
