On the balance of probabilities the court found the true agreed purchase price was HK$1,950,000; the HK$150,000 was a secret payment to the plaintiff intended to evade stamp duty; the receipt had been altered (typed additions) without the plaintiff's authority and therefore did not constitute the required written memorandum to support an enforceable sale. Consequently the agreement was illegal and unenforceable and declarations were granted for the plaintiff against the 5th defendant.
