There was a good prima facie case for winding up and sufficient concern about directors taking and spending funds without proper explanation such that the company's assets were at real risk of dissipation; the Official Receiver lacked resources to act and there was no objection to the nominated persons; accordingly provisional liquidators should be appointed and the hearing rescheduled to allow ASD's final assessment.
