Ms Chan held herself out and contracted in her personal capacity trading as G C & Co and failed to disclose any principal; therefore she is personally liable on partnership contracts. Manufacturing costs were to be those quoted and invoiced by Sun Shine Toys (including mark-ups) not an open-book materials+10% method.
