The 4 July 2005 resolutions were operative and binding on owners under sections 14(1) and 18(1) of the Building Management Ordinance such that liability for the owners' shares of the repair works attached from that date; Clause 18 therefore made the vendor (defendant) liable and the purchaser was entitled to insist on security (stakeholding, bank guarantee or solicitor's undertaking) or to deduct the established share (HK$72,000) from the purchase balance when completing.
