Where the solicitors had authority only to negotiate and agree the form of a contract and not to conclude a contract on the principal's behalf, their correspondence did not form a sufficient memorandum under section 4 of the Statute of Frauds to bind the principal; accordingly the plaintiff's claim against the 3rd defendant failed while specific performance could be granted against those defendants who did not contest liability.
