The court exercised its discretion under Companies Ordinance s.122(1B) to regularise the late laying of audited accounts because the breaches were historical, non-wilful, caused no demonstrated prejudice to the sole shareholders who were also directors, the accounts were subsequently laid and approved, and corrective steps (including appointment of new auditors) had been taken indicating future compliance.
