The Court held the Supplemental Agreement objectively varied and superseded Clause 6 of the Co-operation Agreement by creating an agreed cut-off date and alternative interest/repayment rights; further, subsequent conduct and the parties' loan agreements and ledger confirmations converted the plaintiff's capital contribution into a loan and settled the accounts, thereby extinguishing any entitlement to the Guaranteed Return or 50% profit under Clause 6.
