On undisputed evidence demonstrating multiple transfer factors (same business name and premises, same fixtures and stock, same personnel, continued trading and servicing same customers), the Court held it was plain and obvious that the 2nd defendant was a transferee under s.3 Cap.49 and that its original defence denying transfer was unarguable and must be struck out; the court nonetheless permitted an amended alternative s.8 defence to be pleaded and clarified that pleading in the alternative is permissible where reasonable grounds exist.
