There was sufficient material on the face of the evidence and company minute documents to raise genuine issues of fact (authority/validity of meetings, notice to a shareholder, and non-disclosure of interests) which could taint the validity of the mortgage and four further charges; such triable issues made the originating summons procedure unsuitable and required a trial, so the appeal was allowed and the Master's judgment set aside.
