The Co‑operation Agreement, read in its entirety and having been signed and initialed by both parties with a witness, manifested an immediate intention to be legally bound and disposed of the primary dispute; the Representation that the plaintiff could consult lawyers before a formal agreement did not negate that intention; the agreement was not void for uncertainty because essential matters were agreed and residual corporate matters fell to be resolved under company law; accordingly the strike‑out of the plaintiff's claim against the 4th defendant as an abuse of process was upheld.
