Impracticability to convene a meeting was established because the minority director/shareholder had frustrated valid meetings and the alleged oral agreement did not constitute strong, clear or unambiguous evidence of an enforceable class right to prevent removal; accordingly the court exercised its discretion under s114B to order an EGM and to deem attendance by one member a sufficient quorum to enable the majority to exercise statutory removal rights under s157B.
