The appeal is allowed: the magistrate erred in finding the appellant had brought suspicion upon himself by exercising his right to silence and by expecting disclosure about the agent; the prosecution failed to prove the appellant knew the cover note was counterfeit; costs of the trial and of the appeal are to be awarded to the appellant to be taxed.

The magistrate was entitled to find the documents false on the basis of unconnected corporate witnesses and forensic evidence and to reject the appellant's account as wholly implausible; there was no error in the magistrate's reasoning warranting intervention, so the convictions were upheld.

The Court held that the sentencing judge had taken into account the relevant matters including the restructuring agreement and the nature of the deception; although three years' imprisonment was somewhat on the high side it remained within the acceptable range, therefore the application for leave to appeal against sentence was refused.
