Lung Tang had been struck off and dissolved; upon dissolution all property and rights vested in the company immediately before dissolution became bona vacantia under section 292 of the Companies Ordinance, so Lung Tang ceased to exist as a legal entity capable of suing. Therefore the plaintiff could not maintain a common law derivative action on its behalf and the derivative claim disclosed no viable cause of action; accordingly the Amended Writ and Re-Amended Statement of Claim in the 1st Action were struck out and the plaintiffs claims dismissed.
