Appeals dismissed: although it was legally erroneous to uphold a conspiracy to deceive BAL where appellants were the company's sole directing minds, there was overwhelming admissible evidence that the appellants intended to deceive the parent company CMRG; the BAL minutes qualified as a document under s.9(3) POBO; the 1.5 million shares were given in November 2008 as an inducement; no permission was obtained from CMRG; accordingly convictions as to CMRG-related offences are safe and are affirmed.
