Appeal allowed in part: it was not plain and obvious that the winding-up alternative would fail; the petition sufficiently pleaded reasons (including alleged substantial misappropriations, limited access to records and pleaded inability of respondents to fund a buy-out) making winding up a reasonable alternative and valuation potentially impractical; Rule 24 requires at least seven clear days' notice (not exactly seven) and any irregularity here was to be waived; joinder of 3rd and 4th respondents was not plainly abusive because they may be materially affected and should be bound by outcomes…
