The appeal was allowed because the Commitment Agreement's express joint and several clause, the 1st defendant's broad written appointment of the 2nd defendant as agent (including authority to bind and to make payments) and the rate card terms created joint and several liability; the 2nd defendant's signature bound the 1st defendant by authority and/or ratification, so the earlier judgment against the 2nd defendant did not bar the claim against the 1st defendant; the new evidence (rate cards) was admissible on appeal and reinforced joint and several liability.
