The debtor failed to establish a bona fide dispute on substantial grounds: the termination was effected in accordance with express contractual rights and the allegation that termination was predominately intended to trigger the clawback was unsupported speculation; therefore the clawback debt was owing and a bankruptcy order was properly made.
