The 2nd defendant is personally liable because he signed the cheque and did not bring himself within the exceptions of s.26(1) Bills of Exchange Ordinance; the 1st defendant company is also liable because the 2nd defendant had the requisite authority and s.33 of the Company Ordinance makes the company liable. The court adopts the strict approach to signature liability to preserve the operation of s.26(1).
