The Court of Appeal upheld the trial judge's findings that the 1st plaintiff proved his beneficial interest in the 75 shares and that the defendants failed to show they gave value; accordingly the 1st and 2nd defendants (and related transferees) held the shares on trust for the 1st plaintiff, the appeal was dismissed and consequential orders including transfer and injunctions were made.
