The Court held the 29 March communication was an invitation to treat not an offer under clause 15, the defendant solicitors acted properly in refusing to treat it as an offer and in refusing to deliver the unopened tender, the Representatives lacked authority to act outside the Agreement (including to obtain title deeds), and therefore the first appeal was allowed so that costs were awarded to the defendant and the second appeal was dismissed with costs to the defendant.
