The Court of Appeal held it was not plain and obvious that the contractual provisions operated in clear and unmistakable terms to exclude Sunway’s equity to rescind for fraudulent misrepresentation as against an assignee who had notice and provided no consideration; material factual and legal issues required trial. Accordingly summary judgment was set aside and Sunway was granted unconditional leave to defend.
