On the evidence and applying commercial common sense to the written and surrounding circumstances, the court finds the parties agreed that payment of HK$1,000,000 was subject to the condition precedent that the defendant receive its full HK$24,000,000 commission from BEE; that condition was not fulfilled (defendant received HK$16,000,000) and therefore the defendant had no obligation to pay the plaintiff; claim dismissed.
