Termination was validly effected under clear contractual provisions and the debtor was shown to have had notice of her performance and commission account via monthly statements and intranet access; alleged misrepresentation was not proven against the petitioner and, in any event, the debtor affirmed the contract by continuing to act under it; therefore the commission account deficit became immediately payable and the statutory demand supported making a bankruptcy order.
