The management company had no legal capacity to take delivery of the common facilities and paragraph 12 of the Deed of Mutual Covenant was inapplicable pre-transfer; the Sale of Goods Ordinance does not apply to transfers of real property; the incorporated owners had no pre-transfer duties; consequently the defendant received valid transfer of undivided shares and had no defence to the claim for contribution, so summary judgment was correctly entered and must be upheld.
