The Co-operation Agreement was too vague as to the area purportedly 'transferred' and its terms and the conduct of the parties demonstrated no parting with exclusive possession of any part of the premises by the first defendant to the second; consequently no breach of the covenant to avoid transfer/subletting was established and the plaintiff's claim for possession was dismissed, although plaintiff was entitled to arrears of rent at $900 per month from 1 September 1969 to date.
