The plaintiffs' claim fails because Bureau Veritas had effectively classed the vessel in December 1966 so the defendants' conversion obligation was satisfied; the 14 September 1966 guarantee was unenforceable for lack of the agreed Memorandum of Agreement (no consideration); and the 30 December 1966 endorsement did not obligate defendants to perform works while the vessel did not return to Hong Kong; accordingly defendants are not liable for the plaintiffs' payment for later works.
