CPT failed to prove that GHL (the holding company) made any representation or permitted a representation that its subsidiaries or personnel had authority to contract for it; contemporaneous documents and emails showed dealings with CDL and other subsidiaries, and mere group structure and participation by senior group personnel did not establish apparent authority; accordingly GHL was not liable and CPT's claim was dismissed.
