Leave to appeal was dismissed because the questions posed did not raise issues of general or public importance on the facts found; the lower courts correctly applied fiduciary principles (duty to avoid conflicts and to disclose), and there was no evidential basis to conclude Yugang would not have dealt with Profit Point — the evidential burden to show the third party would not deal lay on the fiduciary. The finding of breach and the award of equitable compensation were upheld in principle.
